Terms of Service

Last updated: July 22, 2026

These Terms of Service ("Terms") are a binding agreement between you and HostPass LLC("HostPass," "we," "us") governing your use of the HostPass website, mobile app, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

HostPass is a hospitality referrals platform. Referrers submit guest referrals to participating venues. Venues accept referrals and check in arriving guests. When a referred guest is checked in, the referrer earns a payout funded by the venue. HostPass facilitates these interactions and payouts but is not a party to the underlying relationship between referrers, guests, and venues.

2. Eligibility and accounts

  • You must be at least 18 years old (and old enough to lawfully enter the venues you interact with, which may require being 21 or older).
  • You must provide accurate information and keep your account credentials secure. You are responsible for activity under your account.
  • Venue accounts (owners and employees) are created by invitation. Venue owners are responsible for the employees they invite and the permissions they grant.

3. Referrer terms

  • You may submit referrals only for real guests you have a good-faith basis to refer, and you must have permission to share the guest information you submit.
  • Payouts are earned only when a referred guest is checked in by the venue, at the incentive amount in effect for that referral. Submitting a referral does not guarantee a payout.
  • You may not submit fake, duplicate, self-, or fraudulent referrals, or coordinate with a venue to generate payouts for guests who did not genuinely attend. We may withhold, reverse, or claw back payouts connected to suspected fraud or abuse.
  • To receive payouts, you must complete payout onboarding with our payments provider, Stripe. You are responsible for any taxes on amounts you earn.

4. Venue terms

  • Venues prepay a balance of funds that is used to pay referrer payouts. Payouts are debited from your balance when you check in a referred guest.
  • You are responsible for accurately accepting referrals, checking in guests who actually attend, and setting your incentive amounts and schedules.
  • You authorize HostPass to debit your prepaid balance for payouts owed on checked-in referrals and to reflect reversals or clawbacks. Unused prepaid funds may be refunded subject to review.
  • Venue owners control employee access and permissions and are responsible for their employees' use of the Service.

5. Payments and payouts

Payments and payouts are processed by Stripe and are subject to the Stripe Connected Account Agreementand related Stripe terms. By using payout features, you agree to those terms. Payouts are typically transferred to a referrer's balance on check-in and may be withdrawn to a bank account subject to standard processing times, holds, and reversal/clawback for fraud, disputes, or error. HostPass is not a bank and does not provide banking or money-transmission services itself.

6. Guest information and consent

If you submit information about a guest, you represent that you have the right and any necessary permission to share that information with HostPass and the destination venue for the purpose of the referral. You will not submit guest information you are not authorized to share. See our Privacy Policy for how guest information is handled.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose;
  • Submit false, fabricated, or manipulated referrals, check-ins, or account information;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or other accounts;
  • Misuse guest information or use it for any purpose other than the referral; or
  • Reverse engineer, scrape, or resell the Service except as permitted by law.

8. Fees

HostPass may charge fees for use of the Service, which will be disclosed to you. Payment processing fees may be charged by Stripe. We may change fees prospectively with notice.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, or withhold or reverse payouts, if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or created risk or legal exposure. Provisions that by their nature should survive termination will survive.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, and we are not responsible for the conduct of any referrer, venue, or guest.

11. Limitation of liability

To the fullest extent permitted by law, HostPass and its officers, members, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid or earned through the Service in the three months before the event giving rise to the claim, or US $100.

12. Indemnification

You agree to indemnify and hold harmless HostPass from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content or referrals, your violation of these Terms, or your violation of any rights of a third party (including guests).

13. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for any dispute not otherwise subject to arbitration, to the extent permitted by law.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
